Training Terms and Conditions

I. SCOPE

PRICE Systems agrees to conduct training courses pursuant to the terms contained herein. Training may be conducted at Client's site or at a PRICE Systems' facility.

Course Description: The PRICE Systems' training course(s) to be conducted, the location, the dates during which the courses are to be conducted, the number of participants, and the prices to be paid to PRICE Systems are as set forth at PRICE Systems' training Web site, which is incorporated by this reference. PRICE Systems reserves the right to modify course content when necessary due to Software technical abilities or limitations.

PRICE Systems' Responsibility: PRICE Systems shall provide an instructor qualified to conduct the course(s), as well as all necessary training materials sufficient for the number of registered participants. PRICE Systems will provide each student with a course manual and training computer (if required).

PRICE Systems' Scheduling Coordinator, through whom all course(s), dates, and locations shall be confirmed, can be contacted at 856-608-7206.

II. PRICE SYSTEMS' TERMS

Payment: PRICE Systems will accept signed Corporate and Government Purchase Orders, Credit Cards, and Corporate Checks. Please make checks payable to PRICE Systems. All checks and purchase orders must be mailed to the attention of Gretchen Martin at PRICE Systems, L.L.C., 17000 Commerce Parkway, Suite A, Mount Laurel, NJ 08054. Purchase orders must include specific invoicing instructions. Payments for all invoices are due within thirty days of the invoice date.

Client's Cancellations/Rescheduling: Sixty percent (60%) of the tuition will be charged to Client if PRICE Systems receives notification of cancellation/rescheduling at least fourteen (14) days prior to the class start date. The full tuition will be charged to participants who cancel/reschedule seven (7) days or less before the class start date or who fail to appear for the class.

PRICE Systems' Cancellations/Rescheduling: PRICE Systems reserves the right to cancel or reschedule a class at any time. If a class is cancelled or rescheduled, PRICE Systems will attempt to notify students ten (10) business days prior to the class start date. If a class is cancelled for any reason by PRICE Systems, the student will be refunded in full.

Refunds: Refunds will not be granted after seven (7) days prior to the scheduled class start date.

Substitutions: Substitutions may be made at any time. Please advise PRICE Systems in advance of the name change.

Travel: PRICE Systems assumes no responsibility for nonrefundable travel arrangement losses resulting from course scheduling changes or cancellations. Even though PRICE Systems strives to confirm all classes, class cancellations are sometimes unavoidable.

SPECIAL NOTE: In order for PRICE Systems to anchor a publicly held training event, there are a minimum number of registered students required per class. Therefore, classes are subject to cancellation by PRICE Systems due to low enrollment.

III. SOFTWARE LICENSES

Where applicable, the terms of the PRICE Systems’ license agreement shall apply to all Client course participants and for all Software and documentation licensed for use in any training course to be conducted. For on-site training, temporary Software licenses may be issued by PRICE Systems where there are an insufficient number of Software licenses available at the training facility. Client shall uninstall the temporary Software licenses at the conclusion of the training courses.
